    TERMS & CONDITIONS OF USE (PurSe WALLET)

    INTRODUCTION

    The Terms and Conditions (as may be amended from time to time, the "Agreement") is a legal contract between you being, an individual customer, user, or beneficiary of this service and is of at least 18 years of age, and Nucleus Software Exports Limited (hereinafter to be referred as "NSEL") having its registered office at 33-35, Thyagraj Nagar, New Delhi-11003 and its Corporate Office at A-39, Sector-62, Noida-201307. All services are rendered by NSEL through its device/instrument under the brand name "PurSe". Hence, all the rights, benefits, liabilities and obligations under the following terms and conditions shall accrue to the benefit of NSEL.
    Service can be used by you subject to your adherence with the terms and conditions set forth below including relevant policies. NSEL reserves the right, at its sole discretion, to revise, add, or delete portion of these terms and conditions any time without further notice. You shall re-visit the "Terms and Conditions" link from time to time to stay abreast of any changes that the "Site" may introduce.



    THE USE OF PurSe™ IS SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS OF USE ("CONDITIONS" AND/OR "TERMS").

    • Your use of PurSe and/or its associated web-sites constitutes your binding acceptance of these Terms.
    • PurSe Wallet is a prepaid instrument, under RBI regulated Payment and Settlement System Act 2007
    • The value in the wallet can be used by you for purchase of good/or services from any merchant associated/registered with the PurSe. PurSe do not sell, resell, or license any of the products or the services that NSEL review, list, or advertise on its web-sites, and NSEL disclaim any responsibility for or liability related to them.
    • The amount reloadable/rechargeable in PurSe shall be governed as per the RBI guidelines/notification


    CHARGES AND FEES ASSOCIATED WITH THE USE OF THE INSTRUMENT

    You agree to pay all fees and charges that you incur for any third party services availed by you whilst using PurSe and all dues including taxes, levies, cesses or statutory claim as well as cost of connectivity of any nature whatsoever, shall become payable in accordance with payment terms in effect at the time the fee or the charge becomes payable. Any PurSe not transacting for 6 months or more may be treated as expired and the value may be forfeited.

    PROHIBITED CONDUCT

      By using the device you agree not to:
    • Use the device for any purpose other than to do financial transaction and to storing personal details including but not limited to aadhar card, driving license, pan card details etc.
    • Use the device for financial transactions with any of the associated PurSe vendor or with any of the authorised institution or with a PurSe individual in accordance with these Terms and Conditions and as such services are offered by PurSe.
    • Impersonate any person or entity, falsely claim or otherwise misrepresentation of an affiliation with any person or entity, or access the instrument of others without permission, forge another person's digital signature, misrepresent the source, identity, or content of information transmitted via the services, perform any other similar fraudulent activity or otherwise which is criminal in nature under the existing law of the country.
    • Infringe our or any third party's intellectual property rights, rights of publicity or privacy.
    • Use the device if you are under the age of eighteen (18) without a parental sponsor/approval or in any event use the service if you are under the age of thirteen (13) years old even with a parental sponsor/approval and in accordance to the existing law of the country.
    • Refuse to cooperate in an investigation or provide confirmation of your identity or any other information you provide to PurSe.
    • Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the services and the site or features that enforce limitation on the use of the services.
    • Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the service or any part thereof.
    • Use device in any manner that could damage, disable, overburden, or impair it including, without limitation, using the services in an automated manner.
    • Modify, adapt, translate or create derivative work based upon the services and the site or any part thereof , except and only to the extent that such prohibition is expressly prohibited by applicable law notwithstanding this limitation.
    • Breach this Agreement or any other PurSe agreement or policy.
    • Provide false, inaccurate or misleading information.
    • Use the site to collect or obtain personal information, including but not limitation, financial information, about other users of the Site.
    • Depositing e-money with what PurSe network reasonably believed to be potentially fraudulent funds.
    • Use the e-money by criminal elements for money laundering or terrorist financing activities


    The List abovementioned is not an exhaustive list. All the other acts which are criminal in nature or is contrary to the applicable laws of the country are also included in the Prohibited Conduct.


    LIABILITY

    You agree that NSEL or its contractors, agents, licensor, partners, suppliers will not be liable to you or will be responsible for any loss or damage of any sort incurred as the result of any of your transactions with third parties.
    You agree that NSEl or its contractor, agents, licensor, partners, suppliers will not be liable to you or responsible for any loss of information from your PurSe which may incur as a result of a fraudulent act of any third party.
    If you do not agree to abide by the Conditions as stated above, please do not review, refer or download materials from this web-site and also stop or discontinue with the use of the device.
    NSEL may modify these Terms at any time without notice


    USER'S WARANTEES

    You also warrant that you understand English language and are able to read and follow the instruction being provided hereto.


    RIGHTS OF NSEL

      NSEL have the right, but not the obligation, to take any of the following actions in its sole discretion at any time and for any reason without giving you any prior notice:
    • Restrict, suspend, or terminate your access to all or any part of its Services;
    • Change, suspend, or discontinue all or any part of its Services;
    • .
    • Deactivate or delete your accounts and all related information and files in your account;
    • Establish general practices and limits concerning use of its web-sites.
    • You agree that NSEL will not be liable to you or any third party for taking any of the above stated actions
    • You agree that NSEL may include messages or advertisements unless you have opted out by signing for Do Not Disturb registry for non-transactional messages.


    LIMITED USER RIGHTS

    PurSe is a wallet and in no case any amount will be refunded to any User for any reason whatsoever. E-cash within the PurSe is not subject to redemption or renewal.
    NSEL shall not be liable/responsible for any defect in the product/merchandise/goods or services availed through the PurSe. NSEL does not warranty against any damage or defect for the above mentioned transactions.


    USER OBLIGATIONS

    • You understand and agree that password and other information with respect to your PurSe are confidential information.
    • If NSEL issue you a password, you may not reveal it to anyone else.
    • You agree to immediately change the password on receipt and to continue changing the password periodically (recommended every 15 days).
    • You agree that NSEL shall not be responsible if you share your password and other confidential information about your PurSe with any person or fail to abide by the advice given in this para about changing password periodically.
    • You may not use anyone else's password. You are responsible for maintaining the confidentiality of your accounts and passwords.
    • You agree to immediately notify NSEL of any unauthorized use of your passwords or accounts or any other breach of security.
    • NSEL will not be held liable for unauthorized use of PurSe on account of loss/theft/misplacement/misuse
    • You understand and agree that your PurSe is linked to an online account with PaySe It must be noted that you shall continue to be liable for any unauthorised use of your online account till you inform PurSe User care about such loss/theft/misplacement and request for blocking your online account is executed. NSEL shall not be responsible for any misuse of online account.

    • If NSEL request registration information from you, you will provide NSEL with true, accurate, current, and complete information. You will promptly update your registration to keep it accurate, current, and complete


    PRIVACY POLICY

    All of the information that NSEL collect from you, such as registration and Debit/credit card information etc., is subject to its privacy policy. We will not sell, share or rent your personal information to any third party or use your email address/mobile number for unsolicited emails and or/ SMS. Any emails and/or SMS sent by service provider will only be in connection with the provision of agreed services and product and this privacy policy. We reserve the rights to communicate your personal information to any third party that makes a legally-complaint request for its disclosure. Please read its full Privacy policy.

    You also agree to exit from the session at the end of each transaction. NSEL will not be responsible for any loss or damage that may result if you fail to comply with these requirements.


    CONFIDETIAL INFORMATION

    The technology and the software underlying its web-sites and the Services is the property of NSEL, its affiliates, and its partners or licensors or associates.
    You agree not to copy, modify, reverse engineer or otherwise transfer any right to the technology or software underlying its web-sites or the Services.
      Without limiting the foregoing, you agree that you will not use the services offered through its web-sites to take any of the following actions:
    • Obscene, offensive, indecent language or otherwise violate the law of India and / or legal right of others;
    • Transmit files that contain viruses, corrupted files, or any other similar software or programs that may damage or adversely affect the operation of another person's computer, its web-sites, any software or hardware, or telecommunications equipment;
    • Advertise any goods or services unless you have its written consent to do so;
    • Engage in any illegal activities.
    You agree that unauthorized access to its web-sites is a breach of these Terms and a violation of the law. You agree not to access its web-sites by any means other than through the interface that is provided by NSEL for use in accessing its web-sites.
    You agree not to use any automated means, including, without limitation, agents, robots, scripts, or spiders, to access, monitor, or copy any part of its web-sites, except those automated means that NSEL have approved in advance and in writing.
    You agree that violation of the terms contained herein or the laws of India may result in severe civil and criminal penalties initiated against you.


    ALL RIGHTS RESERVED

    Nothing contained in these Terms shall limit its right to comply with governmental, court, and law-enforcement requests or requirements relating to your use of its web-sites or the instrument.

    NSEL and/or its respective suppliers make no representations and warranties about the suitability, lack of viruses or other harmful components or accuracy of the information, software, products, services contained herein for any purpose.

    NSEL and/or its respective suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services and related graphics, including all implied warranties and conditions of merchantability, fitness for a particular purpose, workmanlike effort, title and non-infringement.


    LIMITATION

    IN NO EVENT SHALL NSEL AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER. NSEL DOES NOT ENDORSE IN ANYWAY ANY ADVERTISERS/ CONTENTS OF ADVERTISERS ON ITS WEB-PAGES. PLEASE THEREFORE VERIFY THE VERACITY OF ALL INFORMATION ON YOUR OWN BEFORE UNDERTAKING RELIANCE AND ACTING THEREUPON. NSEL SHALL NOT BE RESPONSIBLE NOR LIABLE FOR ANY CONSEQUENTIAL DAMAGES ARISING ON ACCOUNT OF YOUR RELYING ON THE CONTENTS OF THE ADVERTISEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NSEL SHALL BE RESPONSIBLE FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION (WHETHER LIABILITY ARISES DUE TO NEGLIGENCE OR OTHER TORT, BREACH OF CONTRACT, VIOLATION OF STATUE, MISREPRESENTATION OR FOR ANY OTHER REASON), WILL AT ALL TMES BE LIMITED TO TUNE OF RS. 500/-(FIVE HUNDRED ONLY).


    SEVERABILITY

    If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.


    AMENDMENT

    • PurSe reserves the right to amend, modify, change, add or terminate (collectively "Change") the Terms, the site or the Platform/Network at any time in its sole discretion. Your continue use of the site or the instrument shall be deemed your acceptance of any such Changes. You should make sure you view these Terms periodically to make sure you are familiar with most recent version of them. The terms and conditions herein shall be subject to the notification/guidelines issued by competent authority, from time to time.
    • PurSe may modify, terminate and/or suspend PurSe to the customer anytime with or without prior notice, due to any changes in internal policies, rules, regulation and laws set by relevant authorities/regulators.
    • Such notice for amendment in the terms and conditions shall be made available in the web-site. Therefore, you undertake to be aware of such notifications.


    USER OBLIGATION

    The user understands that he is under obligation to take all appropriate steps to keep safe the instrument and the means (such as PIN or code) which enable it to be used. The user AGREES not to record the PIN or code, in any form that would be intelligible or otherwise accessible to any third party if access is gained to such a record, either honestly or dishonestly.
      User agrees to notify the NSEL immediately after becoming aware:
    • of the loss or theft or copying of the instrument or the means which enable it to be used;
    • of the recording on the user's account of any unauthorised transaction; and
    • of any error or other irregularity in the maintaining of that account by the NSEL.

    The terms shall specify a contact point to which such notification can be made. Such notification can be made at any time of the day or night.

    NSEL shall exercise care when issuing PINs or codes and shall be under an obligation not to disclose the user's PIN or code to any third party not limited to its own employees who shall be bound by a binding confidentiality agreement as well as by "NUCLEUS SAFETY AND SECURITY POLICY", except to the respective users.

    The responsibility of the NSEL for the non-execution or defective execution of the transaction is limited to the principal sum and the loss of interest subject to the provisions of the law governing the terms.


    DISPUTE RESOLUTION

    NSEL may elect to resolve any controversy or claim arising out of or relating to these Terms or its web-sites by binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996. The Parties with mutual agreement shall appoint a Sole Arbitrator who shall arbitrate the dispute amicably, in case the Parties do not coincide or accede in appointment of the Sole Arbitrator then each Party shall appoint one Arbitrator and each Arbitrator shall appoint the Presiding Arbitrator. The award given the arbitrators shall be final and binding on both the Parties. The place of Arbitration shall be New Delhi. The arbitration shall be conducted in New Delhi, India. The language of Arbitration shall be English.


    GOVERNING LAWS:

    Subject to Arbitration, the parties irrevocably agree and undertake that any controversy or claim arising out of or relating to these Terms or its web-sites shall be adjudicated exclusively before a competent court in New Delhi, India only.


    JURISDICTION

    All disputes with respect to use of PurSe shall be subject to Delhi Jurisdiction only. All disputes pertaining to PurSe will be resolved by NSEL at its sole discretion. Decision of NSEL in this regard shall be final and binding on. Detailed terms of use as mentioned on PurSe website (www.merapurse.com) shall be applicable.


    GRIEVANCE OFFICER

    The customer has the right to register his complaint if he is not satisfied with the services or finds attitudinal deficiencies when dealing with agents/staff or finds system errors or sees gaps between standards of service promised and actual service rendered by the company. The customer can lodge a complaint by sending email to grievance@merapurse.com_______________. This mechanism is exclusively dedicated for customer complaint redressal.
    • Acknowledgement of Grievances & redress on Complaints:Customer Service Department (CSD) will acknowledge the grievance immediately on the receipt of the complaint and initiate action to have the grievance resolved within a maximum period of three weeks on extraordinary cases with auto reply in either cases.
    • The customer will also be kept informed of the action taken, the progress while redressing grievances, and/or, the reasons for delay if any, in redressing.
    • Complaints received by e-mail shall be acknowledged by an immediate system generated response or via individual emails to the extent possible.
    • The follow up actions taken in respect of such complaints shall be advised to customers by email.


    ENTIRE AGREEMENT

    Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and NSEL with respect to the PurSe instrument/sites/services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and NSEL with respect to the PurSe instrument/sites/services
